TERMS & CONDITIONS

ApexStrat Technologies FZCO provides algorithmic trading software as a service ("Software"). The Software enables customers to deploy ApexStrat's proprietary trading algorithms on their own broker accounts via dedicated, isolated cloud infrastructure.

ApexStrat is a software technology provider only. ApexStrat does not manage, hold, or control customer funds, does not provide investment advice, and is not a regulated financial institution, broker, or asset manager. All trading activity occurs in the customer's own broker account under the customer's sole control.

ApexStrat does not guarantee any specific trading results, profits, or returns. Past performance of any strategy does not guarantee future results. Trading involves substantial risk of loss.

To use the platform, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into binding contracts in your jurisdiction; (c) hold a valid brokerage account meeting the minimum capital requirements for your selected products; and (d) not be subject to sanctions or restrictions that would prohibit use of this service.

By registering, you represent that all information you provide is accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials.

The platform charges the following fees per active product per month:

Fees are calculated at the end of each calendar month and charged via your registered Stripe payment method on or around the 1st of the following month. ApexStrat uses Stripe, Inc. for payment processing. By providing a payment method, you authorise ApexStrat to charge fees automatically.

All fees are non-refundable once charged. Partial-month activations are charged at the full monthly rate. Fees are exclusive of any applicable taxes, which are your sole responsibility.

You agree to: (a) maintain sufficient funds in your broker account as required by your selected products; (b) keep your broker credentials and platform credentials secure; (c) notify ApexStrat promptly of any unauthorised access to your account; (d) not attempt to reverse-engineer, copy, or circumvent the platform; and (e) use the platform only in accordance with applicable laws and regulations in your jurisdiction.

Trading foreign exchange, equities, indices, cryptocurrencies, and commodities involves a high degree of risk and may not be suitable for all investors. The high degree of leverage can work against you as well as for you. Before deciding to trade, you should carefully consider your investment objectives, level of experience, and risk tolerance.

You could sustain a loss of some or all of your initial investment. You should not invest money that you cannot afford to lose. ApexStrat provides the software infrastructure but bears no responsibility for trading losses incurred through use of the platform.

Past strategy performance, including backtesting results, is not indicative of future results. Market conditions change and historical performance cannot be relied upon as a guide to future performance.

All trading algorithms, software, strategies, and platform technology are the exclusive intellectual property of ApexStrat Technologies FZCO. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the platform for your personal or business trading purposes only.

You may not copy, modify, distribute, reverse-engineer, decompile, or create derivative works from the platform or its underlying algorithms.

ApexStrat processes your personal data in accordance with our Privacy Policy. By using the platform, you consent to such processing.

Broker credentials are encrypted using AES-256 and stored in AWS Secrets Manager. ApexStrat staff cannot access your broker password. ApexStrat does not share your personal data with third parties except as required for service delivery (Stripe for billing, AWS for infrastructure, Cognito for authentication) or as required by law.

To the fullest extent permitted by applicable law, ApexStrat Technologies FZCO, its directors, employees, and agents shall not be liable for any: (a) trading losses; (b) loss of profits or revenue; (c) indirect, incidental, or consequential damages; (d) service interruptions or technical failures; or (e) errors in the trading algorithms.

ApexStrat's maximum aggregate liability under these Terms shall not exceed the total fees paid by you in the three months preceding the event giving rise to the claim.

Either party may terminate the subscription at any time. Termination by the customer does not entitle the customer to a refund of any fees already charged.

ApexStrat may suspend or terminate your account immediately if you breach these Terms, fail to make payment, or if required by applicable law or regulation.

These Terms are governed by the laws of the United Arab Emirates (Dubai). Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, or, at ApexStrat's option, submitted to binding arbitration under the DIAC Arbitration Rules.

ApexStrat reserves the right to modify these Terms at any time. Material changes will be communicated via email at least 14 days before taking effect. Your continued use of the platform after the effective date constitutes acceptance of the revised Terms.
